Welcome to MusicDesk. These Terms of Service ("Terms") govern your access to and use of the MusicDesk website at musicdesk.io and the MusicDesk application (collectively, the "Service"), operated by MusicDesk ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 18 years of age to create an account and use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Account Registration

To access the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

3. Free Trial

MusicDesk offers a 30-day free trial for new accounts. During the trial period, you will have access to the full features of the Service at no charge. No credit card is required to start a free trial.

At the end of the trial period, if you do not subscribe to a paid plan, your account will transition to a limited access mode. Your data will be retained, but certain features will be restricted until you subscribe.

4. Subscription and Payments

Paid subscriptions are billed on a monthly basis. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

  • All prices are listed in the currency displayed at the time of purchase
  • Payment processing is handled securely by Stripe; we do not store your full payment details
  • You are responsible for keeping your payment information up to date
  • We reserve the right to change pricing with reasonable notice

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

  • You will continue to have access to the Service until the end of your current billing period
  • No further charges will be made after cancellation
  • Your account will transition to limited access mode after the billing period ends

We generally do not provide refunds for partial billing periods. If you believe you are entitled to a refund due to exceptional circumstances, please contact us at support@musicdesk.io.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Use the Service for any purpose other than managing music education activities
  • Resell, sublicense, or redistribute the Service without our written consent
  • Interfere with or disrupt the integrity or performance of the Service

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these terms.

7. Your Data

You retain ownership of all data you upload or enter into the Service ("Your Data"). By using the Service, you grant us a limited license to store, process, and display Your Data solely for the purpose of providing the Service to you.

We will not sell, share, or use Your Data for purposes unrelated to the Service. For details on how we handle your information, please refer to our Privacy Policy.

You may request export or deletion of Your Data at any time by contacting us.

8. Intellectual Property

The Service, including its design, code, features, branding, and documentation, is owned by MusicDesk and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand assets.

You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.

9. Third-Party Services

The Service may integrate with or contain links to third-party services (e.g., Stripe for payments, Calendly for scheduling). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Service Availability

We strive to keep the Service available at all times, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

MusicDesk is currently available to users in the United States and Canada. Availability in other regions may be added in the future.

11. Limitation of Liability

To the maximum extent permitted by applicable law, MusicDesk and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Indemnification

You agree to indemnify, defend, and hold harmless MusicDesk and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Modifications to the Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you (e.g., via email or an in-app notice).

Your continued use of the Service after any modifications constitutes your acceptance of the updated Terms.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete Your Data after a reasonable retention period
  • Provisions of these Terms that by their nature should survive termination will remain in effect (e.g., limitation of liability, indemnification)

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
